Belize Companies (Belize IBC)

Offshore Company Taxation

A Belize IBC is exempt from all taxes. An Annual Government Fee must be paid to keep the IBC in good standing. Fees are payable by 31st July, starting from the second year of incorporation.

Belize Corporation Directors & Shareholders

A minimum of one director and shareholder are required.

The director and the shareholder can be the same person. Directors and shareholders can be physical persons or a corporate entity.

The names of the shareholders and directors do not form part of the public record.

Books & Records

A register of shares has to be kept and may only be inspected by a shareholder.

The only public filing is the Memorandum and Articles of Association.

Accounts and Reports

There is no requirement for keeping or filing annual accounts and/or reports.

Belize Incorporation Formation Time Scale

Once we have all the necessary incorporation information and have received the funds, your IBC will be completed within three working days. You must provide us the required time to courier post your documents to you via FedEx or DHL and depending on where you are located, will determine how soon you will receive your documents. You will be provided with a tracking number so that you can track your package on the internet.

Belize IBC — Restriction on the Name

The company name must contain one of the following words or abbreviations of the words: Limited, Corporation, Incorporated, Society Anonyme, Sociedad Anonima or Aktiengesellschaft or Ltd., Corp., Inc., S.A., A.S. or A.G.

The names cannot include Assurance, Bank, Building Society, Chamber of Commerce, Chartered, Cooperative, Imperial, Insurance, Municipal, Royal or Trust, or any word which suggests the patronage of Her Majesty or any member of the Royal family or a connection to the Government.

Offshore Registered Office/Agent

An IBC must maintain a local registered office and local registered agent. We provide these services.


There is no restrictions on nominee shareholders and no filing of accounts or reports which provide privacy to the owners. We offer nominee shareholder and director services.

Belize — Country Profile

Belize has an area of approximately 9,000 square miles. It’s a country abounded by nature and teaming with wildlife from the mountainous south western region to the north eastern wetlands and Mangrove to the Caribbean Seas and Barrier Reefs off the east coast.

This young, independent and democratic nation is in the process of its development and has introduced some of the most modern legislation, offering some of the best and secure offshore financial services.

Some airlines providing direct access from the United States to Belize include American Airlines, Continental Airlines and TACA, an El Salvador registered Airline. There are also many other airlines with direct access to and from Central and North America.

Formerly known as British Honduras, a British colony, Belize gained its independence in 1981. With a population of approximately 250,000 in a land mass of the size of the state of New Jersey, Belize is the home to an ethnically diverse people of various origins. The single largest ethnic group is Hispanic, followed by African-European, Maya Indians, Garifuna’s as well as immigrants from North America, Europe and the Middle and Far East. The official language is English, but Spanish is widely spoken. Belize enjoys a sub-tropical climate with an average temperature in the low 80’s.

Since its independence, Belize has become a member of many organizations including the United Nations, the Organization of American states, the Caribbean Community (Caricom), the British Commonwealth of Nations, the Non-Aligned Movement, the African Caribbean and Pacific group (ACP), the World Bank, the International Monetary Fund and the Caribbean Development Bank.

The political system is based on the Westminster Model. Executive Authority lies with the Prime Minister who is the leader of the political party which controls the majority of elected members in the House of Representatives. The executive branch of Government comprises the Prime Minister and his Cabinet, whose function it is to administer to the various needs of the country. They are responsible to the House of Representatives who have Legislative Authority. The Judicial Branch of Government is independent of the Executive and Legislative branches and the Judiciary is appointed by the Governor General.

The Queen of England is the Head of State. A Governor General is appointed as her representative and must be Belizean. The laws have roots in British Common law and supplemented by local statute enacted by the legislature. The court system is also similar to the English system and they have retained the British Privy Council as the Court of Final Jurisdiction.

The local currency is the Belize dollar (BZD) and has a fixed exchange rate (BZD $2.00 to US $1.00) to the United States dollar.

The traditional agricultural based economy is in the process of diversification with new emphasis and resources placed on tourism, manufacturing and offshore financial services.

The niche market being targeted by the Ministry, with responsibility for tourism is the eco-tourism market.

The product includes activities surrounding the Barrier Reef in the Caribbean Sea, off the east coast. This reef is the longest Barrier Reef in the Northern Hemisphere and the second longest in the world. The Mayan Ruins in the vicinity of the central and south-west of the country has the highest concentration of Mayan Ruins in Central America. The varied wildlife including the habitat for birds and other reptiles are to be found in the low wet lands and Mangrove swamps. Accommodation varies from the typical Caribbean beach hotel to the smaller inns and the Inland Huts for the adventurer.

Belize through its multilateral relationships, is a signatory to the Caribbean Basin initiative, (CBI), CaribCan and the Caribbean Free Trade Area, is developing a manufacturing sector which is labor intensive and export oriented. On the border with Mexico, an excellent opportunity exists for manufacturing utilizing the facility under the North American Free Trade Agreement (NAFTA) to gain access to the United States, which is facilitated by motorable roads through Mexico to the southern border of the United States.

While Belize has achieved GDP growth in recent years through the expansion of tourism and increased export of seafood particularly lobster and shrimp, the government has placed equal emphasis on the Offshore Financial Sector. Progressive legislation to attract international business and investment interests was enacted, creating a world-class environment for the incorporation of companies that wish to conduct legitimate business on the international scene, while ensuring their security and privacy in Belize. The IBC Act of 1990 guarantees confidentiality, security and privacy for companies incorporated under this Act.
